When should you leave the micro-entreprise regime to grow your esoteric shop?

Stock, VAT, operating expenses, partners and funding: signs that a shop should switch to actual-profit taxation or become a company even before reaching turnover limits.

Many founders believe they must wait until turnover exceeds the micro-entreprise ceiling before changing their business structure. Yet a shop may benefit from leaving the micro regime much earlier if stock, rent, investment or the founder's remuneration make it unsuitable.

Actual expenses become too high

The micro regime calculates social contributions on turnover and uses a standard tax allowance. If a shop has substantial expenses, taxation based on actual profits may make more sense even without exceeding the turnover ceiling.

VAT on purchases becomes significant

The micro-regime ceiling and basic VAT exemption are independent. A shop can remain a micro-entreprise while becoming liable for VAT. It may also voluntarily opt into VAT before exceeding the threshold if it is investing heavily.

The project needs another shareholder

A sole trader business, including a micro-entreprise, cannot have shareholders. If another person is to acquire an ownership stake, an appropriate company structure must be created or used. Moving from EI to a company may involve contributing business assets, transferring goodwill or selling the business to the newly created company.

Leaving the micro regime does not automatically mean forming a company. You can remain a sole trader and switch to taxation based on actual profits.

Financing or growth calls for a more structured company

A shop seeking to finance refurbishment, open several establishments or bring in investors may need a company. The legal form does not guarantee financing, but can make it easier to organise ownership and present the project to certain partners.

Plan the change in advance

Anticipate the effective tax date, VAT, stock, contracts, lease, bank arrangements and invoicing software. The best moment to change is therefore not necessarily the day a threshold is crossed.

Start by updating the cash-flow forecast, working capital requirement (BFR) and actual margin, then compare micro-entreprise, EI, EURL and SASU using identical assumptions.
