Opening an esoteric shop as a sole trader (EI): who is it suitable for?

France's sole trader structure (EI) under actual-profit taxation allows founders to operate alone while accounting for real business expenses. Explore how it works, taxation, VAT and suitable situations.

The sole trader structure, known in France as entreprise individuelle (EI), often receives less attention than micro-entreprise or SASU, even though it can be a very suitable option for someone running a shop alone. A micro-entreprise is itself a sole trader business benefiting from a simplified regime. When moving from micro to actual-profit taxation, the entrepreneur can remain an EI without automatically setting up a company.

A simple structure with no share capital or articles of association

An EI has no share capital and does not require articles of association. The entrepreneur operates in their own name and registers through the business formalities portal. Since the reform of the sole trader's status, business and personal assets are automatically distinguished under the rules established by law.

This simplicity means less paperwork than EURL or SASU. In return, the entrepreneur remains central to the structure: there are no partners, shares or ownership units.

Why EI may work better for a shop with substantial expenses

Under actual-profit taxation, taxable income is calculated from the business's actual profit. Deductible business expenses are therefore no longer replaced by the standard allowance used by micro-entrepreneurs. This makes an important difference for an esoteric shop: merchandise purchases, commercial rent, payment fees, advertising, professional services and equipment can be accounted for according to their nature and applicable tax rules.

The retailer may also be subject to a VAT regime that allows input VAT on business purchases to be deducted when liable for VAT. For a project involving several thousand euros of initial stock, furniture or building work, this mechanism should be included in financial forecasts.

An EI taxed on actual profits is worth considering once real expenses become too substantial for the micro regime to handle comfortably. It allows an entrepreneur to continue working alone with a relatively simple structure.

Income tax or an option for corporate income tax

An EI is normally subject to personal income tax. Under certain conditions, however, it can opt to be treated as an EURL subject to corporate income tax. This changes the taxation of profits and remuneration and should not be seen as an automatic tax-saving measure.

The standard corporate income tax rate is 25 %. Eligible small businesses may benefit from a 15 % rate on the first 42 500 € of profit. But the choice between income tax (IR) and corporate tax (IS) depends on profits, the entrepreneur's personal needs, remuneration and the ability to retain cash in the business.

The sole trader's social security regime

A sole trader falls under the self-employed social security system. Contributions therefore work differently from those of a SASU president. Their calculation depends on professional income and the chosen tax regime.

Model these costs before registering, particularly when comparing EI, EURL and SASU solely on formation costs. Annual social protection and accounting expenses matter more than registration fees alone.

What type of esoteric shop is EI suitable for?

EI can suit a sole operator wanting to move beyond the highly simplified micro regime without immediately creating a company. It is relevant when stock purchases become significant, the business operates from commercial premises or the project requires full accounting and VAT recovery.

It is less suitable if the project needs partners or investors soon. In that case, EURL, SASU, SARL or SAS provides a more natural corporate structure.

Before deciding, compare this choice with your cash-flow forecast and working capital requirement. A shop can be profitable on paper yet short of cash because of inventory.
